All companies require a company secretarial service. The company secretary cannot be the same person as the sole-director. The company secretary can be a corporate entity.
The company secretary is an officer of the company.
The role of company secretary should not be under-estimated. The company secretary needs to ensure that they know what their duties are. In particular they include:
- Compliance - ensuring that the company is compliant with regards its legal obligations.
- Administration - the company secretary is the chief administration officer; and is often referred to as the "legal" officer.
Specifically under the compliance requirement these are some of the main duties:
- Become familiar with the Articles of Association; Memorandum of Association and Shareholders Agreement.
- Maintain the Statutory Register and ensure that it is accurate and up to date at all times.
- Ensure that the Registrar of Companies is updated by way of all necessary fillings.
- Liaise with shareholders in relation to formal meetings; and if appropriate informally update shareholders.
- Attend all board meetings and company meetings, and take accurate minutes of such meetings.
- File statutory financial statements.
- Complete and file the annual return with Companies House.
- Look after the statutory books.
